George classifies himself as a "vulture investor," investing in distressed securities and companies that are troubled. His particular strategy revolves around 3 areas of investment: shorting companies on their way into distress, focusing on loans or bonds at a discount when they are in trouble, and after they have reorganized, investing in their post-reorganization equities. George gives insights from his career in vulture investing, such as sitting on the creditors' committee of Tropicana Entertainment (Tropicana Casino) and helping to bring that company out of bankruptcy. He is known publicly as one of the "Chrysler Holdouts" for owning Chrysler's senior secured debt before the Obama administration's out-of-court debt restructuring plan, and for fighting that restructuring. George talks about avoiding the dangers of government intervention in bankruptcy investing, and describes his process of identifying distressed industries and companies, citing leverage as the most critical indicator in pushing them toward bankruptcy. Despite the popular connotations associated with vulture investing, George says the process is healthy because distressed securities investors push capital from dying to healthy businesses, preventing "zombie" companies from lingering in the system. Mr. Schultze is widely recognized as an expert on distressed and special situations investing and is often quoted in the media regarding high profile reorganization cases such as the Chrysler Automotive bankruptcy. He is also a frequent speaker at industry conferences and graduate schools such as Harvard Business School. Prior to founding SAM, he honed his activist distressed investing approach with MD Sass. Before that, he was employed with Fiduciary Partners fund of funds, the Mayer Brown & Platt law firm, and Merrill Lynch. Mr. Schultze is a joint graduate of Columbia Business School and Columbia Law School, JD/MBA. He founded the Columbia Law School Investment Club and served as editor for the Columbia Business Law Review. He also authored several papers including: Negotiating the TWA Bankruptcy Restructuring, Tax Factors and ERISA Implications of Corporate Restructurings, and International Banking Law. While at Columbia, he placed 2nd in the 1995 business school annual stock-picking contest. Mr. Schultze earned a BA from Rutgers College where he graduated with a joint major in Economics/Political Science and the Henry Rutgers Scholar distinction. While at Rutgers, he won The Wall Street Journal Award for Excellence in Economics and placed 23rd nationwide (from over 14,000 participants) and first place at Rutgers in the 1991 AT&T Annual Stock Picking Contest. Although born and raised in the U.S.A., Mr. Schultze is fluent in German and Spanish.

And we went into this one chateau, and there was an old oak bedstead from the 14th century. So this was plague time in Europe. And on the top was a carving. The carving had, on the left, a cloaked and hooded figure, a skeleton and a bony finger pointing out like this. And on the other side was a group of young people dancing around a maypole. And the legend translated as-- and this is the skeleton speaking-- pointing to the young people-- "What you are, I once was. What I am, you soon shall be." Now, plying that parable to sovereign debt, the last thing you want is when Ruritania finally comes out of its debt crisis and begins to go back to the market, is to be sitting in a room with a group of bushy-tailed investors who were being jollied into buying the new Ruritanian bond-- the last thing you want is some guy in the bag holding up one of your defaulted bonds saying, "What you are, I once was. And what I am, you soon shall be." So I think people on your side of the table probably underestimate that concern, at least, that an enlightened sovereign will have, to the longer-term damage to its reputation. Of course, politicians are politicians. And get me through the next month, and that's an eternity. But at least, some of the bureaucrats will have to have an eye on the more durable reputation, for good or ill, that the country will incur.

We have a competitive debt market that constantly seeks out that next transaction. We have an environment of innovation with restructuring professionals seeking to push the boundaries of what may be possible within the current legislative framework, and we have changes to that framework with the introduction of Safe Harbour as a defence to insolvent trading and ipso facto reform which seeks to lock in contracts post-insolvency. It's too early to know whether these changes will have a real impact, but they certainly have been welcomed as a means of alleviating pressure on Australian boards of directors. We have a steady flow of US and Asian based capital into Australia and the frequency of restructurings being led by foreign investors is certainly increasing. Unitranche, Term Loan B, Foreign Governed Bond Indentures, while not commonplace are certainly part of the technology being deployed in Australia. We've also seen an increased use of schemes of arrangement as an effective restructuring tool. So what else can the investor, the distressed debt investor, in the Australian market expect to see at the moment? Well certainly there's been a slowing in single credit and portfolio trading. Having said that, we are seeing a number of borrowers continue to really focus in on the assignment and novation provisions within the finance documents as a means of trying to manage the lenders they face off against in a restructuring. We are seeing a number of sectors in the environment of challenged liquidity. We've seen a number of foreign trading banks depart our shores over the last few years and for those with boots on the ground there are real opportunities. We are seeing a flow of insolvency appointments in construction, property, retail. For the most part they're really just following the global trends and the issues in those sectors. There continues to be a willingness amongst financiers to support restructurings or non‑insolvency solutions, whether it be through relaxing covenants, rolling terms or a combination of the same. And finally we have seen a real increase in alternate capital providers providing real, credible, legitimate financing packages to corporate Australia. Ultimately, if this sector continues to grow, it will be busy but we are seeing a number of these hedge funds alternate providers operating in Australia with certainly less competition than they may face in other parts of the world.

Distressed Pro is software many in the real estate investing world use. So, today Robby and Chase sit down with the creator Brecht Palombo to talk about Distressed Pro, the state of the industry, and where he thinks the market is headed. The guys jump into this show addressing Robby traveling out to New Orleans. The last time Robby has to ‘phone in’ a show he was driving 75 mph down Cajon Pass – between Vegas and LA. With very little fanfare, mostly due to their ubiquity in the industry, the guys jump right in with Brecht. While the gentlemen are both back from some culture heavy events, they waste no time jumping back into the swing of things. Distressed Pro Distressed Pro is home to the BankProspector software. This is a hosted online software (SaaS) you can use to source institutionally owned off-market notes and REO deals. The way they’ve designed the tools in BankProspector give you fast, easy access to non-performing loan and REO portfolio information, “sell” indicators and contacts so you can source more deals. Essentially, this is software that can help you find and evaluate REO, non performing loan, and bank contact data from every bank and credit union. That’s right they track 100% of the banks and credit unions non-performing portfolios. They even have content around how to contact these banks, comb through the data, etc. Brecht Palombo Brecht was a Dot Com Bust refugee, his words, holding hundreds of thousands of shares in dot com companies that were worth absolutely nothing. So, when every crapped the bed, he was left in a really tough situation. That whole experience left a terrible taste in his mouth with regards to working you face off for just a paycheck. What he was looking for was something to insulate him from that experience, which lead him to focusing on real estate. Well, that a an uncle that was killing it in the real estate space. His first foray into real estate was working on a rental portfolio up in Boston. He went on to get his real estate license, and start selling real estate as an agent. That quickly started to grate on him, as he says in the show, “I don’t give a crap about your school system, or what color the bathroom is.” He knew pretty quickly that he needed to find another avenue in the real estate world that jived with his strengths. Which lead him to want to be the bank. Current Real Estate Market One of the things Brecht mentions first is the “cracks” everyone is hearing about in the multi-family housing space. The fact is that newly defaulted multi-family notes have been on the rise since last June. He mentions a 25 to 30 percent increase in defaults in from the most recent reporting period. Then if we go look at some of the other data coming out in the reports, we’ve had a spike a newly late residential loans. And in farm land loans. And in commercial and industrial loans, that aren’t backed by real estate. So, you can see that having this type of data at your finger tips in software like BankProspector can be very helpful. Brecht continues to drop more numbers and data regarding the state of the industry throughout the episode. That’s it for this week! Jeremy Grantham is a British investor and co-founder and chief investment strategist of Grantham, Mayo, & van Otterloo (GMO), a Boston-based asset management firm. GMO is one of the largest managers of such funds in the world, having more than US$118 billion in assets under management as of March 2015. Grantham is regarded as a highly knowledgeable investor in various stock, bond, and commodity markets, and is particularly noted for his prediction of various bubbles. Event-driven strategies concern situations in which the underlying investment opportunity and risk are associated with an event. An event-driven investment strategy finds investment opportunities in corporate transactional events such as consolidations, acquisitions, recapitalizations, bankruptcies, and liquidations. Managers employing such a strategy capitalize on valuation inconsistencies in the market before or after such events, and take a position based on the predicted movement of the security or securities in question. Large institutional investors such as hedge funds are more likely to pursue event-driven investing strategies than traditional equity investors because they have the expertise and resources to analyze corporate transactional events for investment opportunities. Corporate transactional events generally fit into three categories: distressed securities, risk arbitrage, and special situations. Distressed securities include such events as restructurings, recapitalizations, and bankruptcies. A distressed securities investment strategy involves investing in the bonds or loans of companies facing bankruptcy or severe financial distress, when these bonds or loans are being traded at a discount to their value. Hedge fund managers pursuing the distressed debt investment strategy aim to capitalize on depressed bond prices. Hedge funds purchasing distressed debt may prevent those companies from going bankrupt, as such an acquisition deters foreclosure by banks. While event-driven investing in general tends to thrive during a bull market, distressed investing works best during a bear market. Risk arbitrage or merger arbitrage includes such events as mergers, acquisitions, liquidations, and hostile takeovers.[66] Risk arbitrage typically involves buying and selling the stocks of two or more merging companies to take advantage of market discrepancies between acquisition price and stock price. The risk element arises from the possibility that the merger or acquisition will not go ahead as planned; hedge fund managers will use research and analysis to determine if the event will take place. Special situations are events that impact the value of a company's stock, including the restructuring of a company or corporate transactions including spin-offs, share-buy-backs, security issuance/repurchase, asset sales, or other catalyst-oriented situations. To take advantage of special situations the hedge fund manager must identify an upcoming event that will increase or decrease the value of the company's equity and equity-related instruments. Other event-driven strategies include: credit arbitrage strategies, which focus on corporate fixed income securities; an activist strategy, where the fund takes large positions in companies and uses the ownership to participate in the management; a strategy based on predicting the final approval of new pharmaceutical drugs; and legal catalyst strategy, which specializes in companies involved in major lawsuits. Distressed Oil Companies Have Value in Their Bonds

Dan Dicker, Energy contributor at TheStreet.com, talks with Jim Cramer about the very distressed oil companies working U.S. shale plays. While these companies have seen their share prices go to single digits, some of their bonds are still investible. While share prices can go to zero, the bond investor would be first to be rescued if a distressed company is bought out or restructured. A likely target for this very speculative investment, Dicker says, is a company with highly leveraged debt accompanied by an otherwise very valuable portfolio of assets. One company that Dicker thinks meets these criteria is Halcon Resources (HK).
