Pipeline Operator Williams Cos. is Sold to Energy Transfer Equity

Energy Transfer Equity LP (ETE) is buying pipeline operator Williams Companies Inc. (WMB) in a transaction valued at about $37.7 billion, including the assumption of debt and other liabilities. The deal will create the third largest energy franchise in North America and one of the five largest global energy companies. In June, Williams rejected an unsolicited buyout offer from Energy Transfer for $64 per share, or $48 billion. Under the terms of the transaction announced Monday, Energy Transfer Corp LP, an affiliate of Energy Transfer Equity, will purchase Williams at an implied current price of $43.50 per Williams share. The deal comes at the same exchange ratio as initially offered of 1.8716 per share but now Williams shareholders can receive either stock or cash or a combination up to $6.05 billion in cash, or 20% of the total consideration. Williams shareholders will also be entitled to a special one-time dividend of 10 cents per share right before the deal closes on top of the regular dividend. If Williams shareholders choose to receive all cash or all ETC shares, then each share would receive $8 in cash and 1.5274 ETC shares as a result of proration. Energy Transfer Equity Rebuffed in $53.1 Billion Bid for Williams Cos.

Williams Cos. (WMB) has rejected a bid from Energy Transfer Equity LP (ETE) that would have been worth $53.1 billion including the assumption of debt. Energy Transfer offered $64 per share, or $48 billion, in a deal structured to offer a 32.4% premium over the oil and gas pipeline operator's Friday closing price. Williams responded by trumpeting its value as a standalone company and the growth prospects from its $13.8 billion acquisition of Williams Partners LP, which is still underway, but would have been cancelled under Energy Transfer's deal. Williams has hired advisers to run a strategic review. Energy Transfer Equity said the offer, which has been in the works for six months, was made on May 19 to Armstrong and on June 11 and 18 to the company's board after Williams' announcement that it was buying Williams Partners. It thinks its offer is more compelling and is 'disappointed' that it had to publicly confirm its offer for Williams. The Deal's Senior Reporter Lisa Allen has the details from New York. Since June 24, the company has become the target of competing takeover bids from Energy Transfer Equity LP (ETE; 'BB-'/Stable) and The Williams Cos. ('BBB-'/CreditWatch Positive). Since ETE's initial bid, the counteroffers between the two bidders for Southern Union have increased by about 8% to $44.25 per share, or around $9.4 billion. Energy Transfer Raises Its Offering Price for Southern Union to $8.9 Billion

Energy Transfer Equity, L.P. (NYSE:ETE) raised its offering price for Southern Union Company (NYSE:SUG) today to $8.9 billion, including $5.1 billion in cash and ETE common units. Under the deal, unanimously approved by the board of directors for Southern Union, shareholders of SUG can elect to exchange their common shares for $40.00 in cash or 0.903 ETE common units. The new offer is significantly higher than the company's original $33 per share, $7.9 billion offer it made on June 16, and trumps the $8.7 billion cash bid made by Williams Co (NYSE:WMB) on June 24. Kelcy Warren, ETE's Chairman of the Board said, "We have listened to SUG shareholders and are providing a superior yet simpler transaction, including a significant cash component and the opportunity to benefit from ETE's upside through the ownership of ETE common units. The revised ETE / Southern Union agreement delivers superior value, highly compelling equity participation and certainty to close for SUG shareholders. The Southern Union board and I strongly believe that ETE is the right partner for Southern Union and that the combination of our companies is in the best interests of our investors, customers and employees." Energy Transfer Equity has a potential upside of 14.5% based on a current price of $44.68 and an average consensus analyst price target of $51.17.

Energy Transfer Equity, L.P. (NYSE:ETE) announced today that its board has approved an increase of its quarterly dividend to $0.625 per unit. That represents an annual distribution of $2.50 per unit, an increase of 11.6% over its previously announced dividend. The distribution will be paid on August 19, 2011 to unit holders of record as of the close of business on August 5th. The payout represents an annual yield of about 5.6% based on the stock's closing price Wednesday of $44.45 per share. Shares of Energy Transfer Equity are trading up 1.15% at $44.96.

Pipeline stocks are one area in the energy space investors should include in their portfolio. Dan Dicker, Senior Energy Analyst at TheStreet, tells Jill Malandrino pipeline stocks are not just for your grandfather anymore as a defensive, dividend-producing vehicle. For example if you look at Williams (WMB), which was a failed natural gas play, it has now re-energized itself as an infrastructure play. WMB has done a tremendous job with the transition and that is reflected in the five-year chart. Dicker says that in a very volatile crude oil market, pipelines have proven to be dependable, long-term investments. This week WMB rejected an offer from Energy Transfer Equity (ETE) at a 35% premium, and Dicker says WMB was right in rejecting it because it simply was not enough. Kinder Morgan (KMI), the 'mother of all pipeline companies' is one of Dicker's favorites as the company has made all of the right moves with the restructuring. Besides an outright sale of CST Brands to one of the large consolidators, the odds of a proxy fight are also high, the unnamed source said, noting that the window to nominate directors opens in early March. Arnaud Ajdler's Engine Capital LP on Wednesday delivered a letter to the board of CST Brands requesting that it either take various actions to substantially improve business operations or launch a review of strategic alternatives, including the exploration of a sale. In addition to Engine Capital, with an approximately 1% stake in CST Brands, the company's shareholder base includes Alan Fournier's Summit, N.J.-based hedge fund Pennant Capital Management LLC and Daniel Lewis' Orange Capital LLC, which own about 4.6% and 3.1% of the company, respectively. CST Brands, based in San Antonio, is amongst North America's largest publicly traded fuel and convenience store retailers and encompasses more than 1,900 retail locations in the U.S. and Canada under banners that include Corner Store, Depanneur du Coin and Nice N Easy. US Options Market: Calls Flow Into Enterprise Products Energy pipeline operators have drawn upside options for weeks, and last-minute bulls charged into Enterprise Products Partners yesterday. optionMONSTER's Heat Seeker system identified the purchase of 13,000 May 35 calls in the final 11 minutes of the session. This is clearly new positioning, as open interest in the strike was just 1,092 contracts before the day began. These long calls lock in the price where the stock can be purchased through mid-May no matter how far it might climb. They could be sold earlier at a profit if premiums rise with a rally before then, providing potentially significant leverage, but the contracts will expire worthless if shares remain below $35. EPD slipped 0.06 to $33.84 yesterday. It was the first time that shares had traded above their 50-day moving average since gapping down from above $46 on Feb. 17, the day that Enterprise Products completed its merger with Oiltanking Partners. The company will reports earnings on April 30. Overall option volume in the name topped 17,400 yesterday, compared to a daily average of 1,041 for the last month. Total calls outnumbered puts by a bullish 14-to-1 ratio. Energy Transfer Tells Southern Union It Cannot Hold Talks With Williams

Energy Transfer Equity (NYSE:ETE) said in a letter to Southern Union Co (NYSE:SUG) that it cannot hold deal talks with Williams Companies (NYSE:WMB). In the letter to Southern Union, Energy Transfer wrote that company's board "is not permitted by the merger agreement to engage in any discussions or negotiations with Williams." It also stated that Southern Union cannot provide nonpublic information to Williams. The filing also said that Energy Transfer, "does not believe that the board can conclude, in good faith, that the Williams proposal constitutes, or is reasonably likely to result in, a superior offer." It was also disclosed in a letter from Southern Union that Williams had bid $30 per share for the company in January, an offer that was inferior to one Southern had already received at the time from another, unnamed company.

Verizon Communications (NYSE:VZ) announced that its 45,000 wireline employees in nine Northeastern states and the District of Columbia represented by the CWA and IBEW will return to work beginning Monday night, August 22, without new collective bargaining agreements. Dollar Thrifty (NYSE:DTG) sent letters to Hertz (NYSE:HTZ) and Avis (NYSE:CAR) for best and final proposals. Lowe's (NYSE:LOW) authorized a $5B share repurchase program. United Continental Holdings (NYSE:UAL) announced it will invest $550M in its on-board product. Enterprise Products Partners (NYSE:EPD) announced it will not be moving forward with a proposed joint venture with Energy Transfer Partners L.P. (NYSE:ETP) to develop and construct a 584-mile crude oil pipeline from Cushing, OK to Houston, TX. Cisco (NASDAQ:CSCO) announced intent to acquire AXIOSS software assets for $31M in cash.

This is what's in the news for Tuesday, June 28th. Reuters reports that Williams Cos. (NYSE:WMB) said its $4.9B proposal to buy Southern Union (NYSE:SUG) is not subject to any financing contingency, as charged by rival bidder Energy Transfer Equity L.P. (NYSE:ETE). The Wall Street Journal reports that Toyota's (NYSE:TM) senior unsecured long-term credit ratings were cut by Moody's to Aa2 from Aa3. Moody's says it will take time for the automaker to return to "strong profitability" and that further ratings cut remains a possibility. Reuters reports that Air Canada and United Continental Holdings (NYSE:UAL) halted a planned joint venture after Canada's competition watchdog filed an application to have the proposed deal scrapped on antitrust grounds. Finally, Bloomberg reports that filings for IPOs worldwide are at the fastest pace since 2007 as Greece's debt crisis and China's rising inflation pull down stock markets. At least 720 companies announced plans this quarter to seek $67B in IPOs.
