A company going bankrupt is not news. But Solyndra was not just any company. Its biggest “investor” was the federal government which had given it $500 million dollars. That was news. But, really, it shouldn’t have been. If history is any guide, it was quite predictable. The government is a very poor investor. And always has been. There are countless examples, but two should serve our purpose here. After the Civil War, American leaders were anxious to bind the country’s North, South, East, and West regions together with transcontinental railroads. Congress therefore gave massive federal aid to build the Union Pacific, the Central Pacific, and later the Northern Pacific Railroads. But all three of these roads had huge financial problems. The Union Pacific, for example, was mired in financial scandal from its inception, went bankrupt several times, and had to rebuild large sections of track thanks to shoddy construction practices. At that same time, James J. Hill, with no federal aid whatsoever, built a railroad from St. Paul to Seattle -- the Great Northern. How was Hill able to do with private funds what the Union Pacific failed to do with a gift of tens of millions of federal dollars? The starting point is incentives. The Union Pacific was paid by the government for each mile of road it built. It was in the railroad’s interest not to build the road straight. The more miles it took the UP to cross Nebraska, for example, the more money it made. Hill, by contrast, used his own capital. To make a profit, he had to build his Great Northern Railroad sturdy and straight. Hill’s company remained in business for almost a hundred years until 1970 when it merged with other railroads. The original Union Pacific, riddled with corruption and numerous other financial misdeeds, including the wholesale bribery of public officials, went broke within ten years. The story of the airplane is even more stark. By the opening of the twentieth century, the major nations of Europe and America were frantically at work trying to invent a flying machine. The first nation to do so would have a huge military and commercial advantage. In fact, leading American politicians of the day, such as Teddy Roosevelt, President William McKinley, and others argued that building an airplane was a national emergency. There was no time, they argued, to wait for private industry to get the job done. The government needed to pick the best aeronautics expert and give him the money he needed. That expert was Samuel Langley, the president of the prestigious Smithsonian Institution and holder of honorary degrees from Harvard, Yale, Oxford, and Cambridge. Langley was already an accomplished inventor and he had written a highly praised book Experiments in Aerodynamics. Federal officials gave Langley funds for two trial flights. He immediately set to work. His theory was that his plane needed to be thrust into the air from a houseboat on the Potomac River. One of the largest peer-to-peer platforms is LendingClub. In this video I will show you how you can use this platform as an additional investing tool. Lending Club is an online peer-to-peer (P2P) lending platform that takes the banker out of banking. Investors lend money directly to borrowers through the website, enabling both to benefit from the rate of interest established for each loan. And just as important, the entire transaction happens online, eliminating the need for sometimes embarrassing face-to-face meetings common with bank loans. 😳 It’s a win-win as both the investor and the borrower benefit from the LendingClub process. ➡️ There are two ways to invest with LendingClub. Manual investing is where you browse available loans and choose which ones you’ll invest in one at a time. 💻 But you can also use automated investing in which you set investment criteria, and notes are selected automatically based on that criteria. ⁉️ Like any investment there are some risks. It’s important to realize investments held through LendingClub are not bank assets, and as such they are not insured by the FDIC. So are you saving enough to fund 25 years or more of retirement? Can you really afford to pay for your children or grandchildren to go to university - or help them onto the property ladder? And what about all those holidays you promised yourself? We entrust the vast bulk of our investments to fund managers. Here in the UK, according to Her Majesty's Treasury, the industry has more than four TRILLION pounds of investors' money under management. Fund managers invest people's savings wherever they see fit - mainly in equities, or shares in listed companies. They claim to be experts at making our making grow, using their expert knowledge to pick the shares that will outperform the market. But all too often the returns they produce are considerably lower than the average return of a benchmark index like the FTSE 100 - or the S&P 500 in the States. For veteran investment guru John Bogle, the problem is simple. Fund managers just aren't as smart as they like to think they are. As it means trading against the view of numerous market participants with superior information, buying or selling a security is effectively just a bet. So, whilst your fund manager might lead you to believe it's his knowledge or intelligence that enables you to beat the market, he's really no better than a gambler. So, you might be lucky enough to choose the right fund manager. But you could just as easily pick the wrong one. According to the financial services company Bestinvest, there are currently nearly £10 billion of UK investors' money languishing in what it calls dog funds - in other words, funds which have underperperformed their benchmark index for at least three consecutive years. Ultimately, of course, fund managers are businesses. They exist to make money for themselves. They want our business - even if it means persuading us to invest in a fund which they themselves wouldn't want to put their own money in. It's now time to look at what it actually costs us to invest. Fund managers are, of course, businesses. And, like all business, they have overheads. Running a big fund management company doesn't come cheap - esepcially when top managers earn around £2 million a year, including bonuses. And remember, it's you, the customer, who picks up the tab. Ultimately, though, fund managers need to make a profit. In fact they'e making around £10 billion from us every year - and that's regardless of whether or not they manage to produce a profit for us. Part of the challenge is working out exactly what we are being charged. Investors typically use something called the annual Total Expense Ratio, or TER, to compare the cost of investing in different funds. But, the TER excludes dealing commission, stamp duty and other turnover costs that can add considerably to the expense of investing over time. So, apart from those hidden charges, what else are we having to pay? More importantly, what sort of impact do charges have on the value of our investments? And the bad news doesn't stop there. Despite a marked increase in competition, management charges in the UK have been steadily rising over the last ten years. There are some encouraging signs for consumers. The FSA's Retail Distribution Review will require fund managers to be fairer and more transparent when it comes to charges. In the meantime, investors should be on their guard. Samsung has opened its new mobile factory in India. This factory is said to be the world's largest mobile factory. The factory plot which is of 35-acre, is situated at Sector 81 in Noida, Uttar Pradesh. Prime Minister Narendra Modi and South Korean President Moon Jae will be officially inaugurating the Samsung Electronics factory on Monday. By opening the new factory, Samsung India aims to increase its overall production to 50 per cent in the next three years, which is currently at 10 per cent. 1. Samsung is currently making 67 million smartphones in India and with the new plant, the company is aiming to manufacture nearly 120 million mobile phones. Commenting on the new Samsung plant, Tarun Pathak, Associate Director at Counterpoint Research says that the new factory will reduce the time to market for Samsung. "This will help Samsung bring some local features to the devices powered by R&D here. Apart from this, the company can also bring in export opportunity for Samsung to SAARC and other regions," Pathak told IANS. 2. Back in June 2017, the South Korean giant had announced a Rs 4,915 crore investment to expand the new Noida plant. It just a year after a new of the announcement, Samsung's Noida plant is all-ready to double production. By setting up the new plant Samsung is not only aiming to double its mobile phone production but other consumer electronics products as well, like refrigerators and flat panel televisions. 3. According to HC Hong, President and CEO, Samsung India, a bigger manufacturing plant will help the company cater to the growing demand for Samsung products across India. 4. Established in 1995, Samsung India laid the foundation for the Noida plant next year, 1996. In 1997, the production commenced and the first Samsung TV was rolled out to the market. It is in 2003 that the Samsung initiated the refrigerator production in the country. It is in just a couple of years, that is by 2005, Samsung had become the market leader in manufacturing TV panels. In 2007, the existing Noida plat started manufacturing mobile phones. In 2012, Samsung became the leader in mobile phones in the country and the Noida facility rolled out the first-ever Galaxy S3 device. Today, Samsung is among the top mobile brands in India. With the new Noida plant Samsung is expecting to expand its mobile business in the country. To recollect, Samsung India has registered around 27 per cent growth in mobile business revenue for the financial year 2016-17. 5. Samsung currently has two manufacturing plants in the country -- one in Noida and the second one in Sriperumbudur, Tamil Nadu. There are five R&D centres, and one design centre in Noida, where somewhere over 70,000 people work. There are three main types worth analyzing: Money Businesses: These are true small businesses, owned by families or individuals, with no aspirations of becoming huge. They are often heavily dependent on one person or several individuals. Examples include restaurants, law firms, and even this BIWS/M&I business. Meth Businesses: These are venture-backed startups aiming to disrupt big markets and eventually become huge companies. Examples include Kakao, WhatsApp, Instagram, and Tumblr – all before they were acquired. Empire Businesses: These are large companies with management teams and Boards of Directors; they could be public but have chosen not to be. Examples include Ikea, Cargill, SAS, and Koch Industries. You see the most differences with Money Businesses and much smaller differences with the other two categories. The main differences have to do with accounting and the three financial statements, valuation, and the DCF analysis. Accounting and 3-Statement Differences Key adjustments might include "normalizing" the company's financial statements to make them compliant with US GAAP or IFRS, classifying the owner's dividends as a compensation expense on the Income Statement, removing intermingled personal expenses, and adjusting the tax rate in future periods. These points should NOT be issues with Meth Businesses (startups) or Empire Businesses (large private companies) unless the company is another Enron. Valuation Differences The valuation of a private company depends heavily on its purpose: are you valuing the company right before an IPO? Or evaluating it for an acquisition by an individual or private/public buyer? These companies might be worth very different amounts to different parties – they *should* be worth the most in IPO scenarios because private companies gain a larger, diverse shareholder base like that. You'll almost always apply an "illiquidity discount" or "private company discount" to the multiples from the public comps; a 10x EBITDA multiple is great, but it doesn't hold up so well if the comps have $500 million in revenue and your company has $500,000 in revenue. This discount might range from 10% to 30% or more, depending on the size and scale of the company you're valuing. Precedent Transactions tend to be more similar, and you don't apply the same type of huge discount there for larger private companies. You may see more "creative" metrics used, such as Enterprise Value / Monthly Active Users, especially for private mobile/gaming/social companies. DCF and WACC Differences The biggest problems here are the Discount Rate and the Terminal Value. The Discount Rate has to be higher for private companies, but you can't calculate it in the traditional way because private companies don't have Betas or Market Caps. Instead, you often use the industry-average capital structure or average from the comparables to determine the appropriate percentages, and then calculate Beta, Cost of Equity, and WACC based on that. There are other approaches as well – use the firm's optimal capital structure, create a giant circular reference, or use earnings volatility or dividend growth rates – but this is the most realistic one. You use this approach for all private companies because they all have the same problem (no Market Cap or Beta). You'll also have to discount the Terminal Value, but this is mostly an issue for Money Businesses because of their dependency on the owner and key individuals. You could heavily discount the Terminal Value, use the company's future Liquidation Value AS the Terminal Value, or assume the company stops operating in the future and skip Terminal Value entirely. Regardless of which one you use, Terminal Value will be substantially lower for this type of company. The result is that the valuation will be MOST different for a Money Business, with smaller, but still possibly substantial, differences for Meth Businesses and Empire Businesses. http://www.mergersandinquisitions.com/private-company-valuation/
